This End User License Agreement (“Agreement”) is a legal agreement between you (“User”) and Cedar Syntax LLC (“Cedar Syntax”), a Vermont limited liability company, governing your use of the muwav software application (“Software”).
By installing or using the Software, you agree to be bound by the terms of this Agreement. If you do not agree, do not install or use the Software.
1. License Grant
Cedar Syntax grants you a limited, non-exclusive, non-transferable, revocable license to install and use the Software for personal, non-commercial use, subject to the following:
- macOS: The Software is licensed for use on a single Mac computer per iCloud account.
- iOS: Use of the Software on iOS devices is governed by the Apple Licensed Application End User License Agreement. In the event of any conflict between this Agreement and Apple’s terms regarding use on iOS, Apple’s terms shall prevail for the iOS version of the Software.
2. Restrictions
You may not:
- Copy, modify, distribute, sell, lease, sublicense, or otherwise transfer the Software or any rights therein.
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software.
- Remove, alter, or obscure any proprietary notices, labels, or marks in the Software.
- Use the Software for any unlawful purpose.
3. Intellectual Property
The Software, including all code, design, visual assets, and documentation, is the exclusive property of Cedar Syntax LLC. “muwav” is a trademark of Cedar Syntax LLC. All rights not expressly granted herein are reserved.
4. No Warranty
THE SOFTWARE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. CEDAR SYNTAX DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
5. Limitation of Liability
IN NO EVENT SHALL CEDAR SYNTAX LLC, ITS OFFICERS, MEMBERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, REVENUE, OR PROFIT, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SOFTWARE, EVEN IF CEDAR SYNTAX HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CEDAR SYNTAX’S TOTAL LIABILITY ARISING OUT OF THIS AGREEMENT SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE. FOR THE FREE MACOS VERSION OF THE SOFTWARE, THAT AMOUNT IS ZERO.
6. Termination
This license is effective until terminated. Cedar Syntax may terminate this Agreement at any time if you fail to comply with its terms. Upon termination, you must cease all use of the Software and destroy all copies in your possession.
7. Privacy
The Software stores and syncs your music library metadata using Apple’s iCloud services. Cedar Syntax does not collect, store, or transmit any personal data. Any data handled through iCloud is subject to Apple’s privacy policy. See also the muwav Privacy Policy.
8. Changes to This Agreement
Cedar Syntax reserves the right to modify this Agreement at any time. Updated terms will be made available through the Software or at muwav.surf. Continued use of the Software after changes are posted constitutes acceptance of the revised terms.
9. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Vermont, without regard to its conflict of law provisions.
